Terms of use

1. Agreement to Terms
By purchasing, accessing or using the Infinity RTO Self-Sell System (IRSS), including any optional support services, you (“the Vendor”) agree to be bound by these Terms of Use. If you do not agree, you must not use the IRSS or any related services.

2. Scope of Use & Licence
Infinity Business Brokers Pty Ltd (“Infinity”) grants the Vendor a limited, non-exclusive, non-transferable licence to access and use the IRSS materials and optional support services solely for the internal purpose of preparing, marketing and managing the sale of the Vendor’s Registered Training Organisation (RTO).

The Vendor must not reproduce, distribute, share or allow any unauthorised person to access any part of the IRSS.

3. Confidentiality & Non-Disclosure
3.1 Vendor Confidentiality: The Vendor agrees to keep all IRSS materials, templates, guidance notes, proprietary processes and any information provided by Infinity confidential and must not disclose such materials to any third party without Infinity’s prior written consent.

3.2 Infinity Confidentiality: Infinity agrees to treat as confidential any proprietary or sensitive information provided by the Vendor through their use of the IRSS or related support services, except where disclosure is required by law or regulation.

3.3 These obligations survive termination of this Agreement.

4. Intellectual Property
All content within the IRSS, including templates, documents, guidance, branding and supporting resources, remain the exclusive intellectual property of Infinity.
No right, title or interest is transferred to the Vendor other than the limited licence expressly granted under Clause 2.

5. No Agency Relationship
The IRSS is a self-service system. Infinity is not acting as the Vendor’s broker, agent or legal representative. Optional support services do not create an agency or fiduciary relationship. The Vendor remains solely responsible for their own sale process, negotiations, legal compliance and outcomes.

6. Limitation of Liability
To the fullest extent permitted by Queensland law, Infinity disclaims all warranties, express or implied, including any warranty that the IRSS or support services will result in a sale, higher sale price or specific outcome. Infinity’s total liability for any claim relating to these Terms or the IRSS is limited to the fees paid by the Vendor for the IRSS and any optional support services.

7. Payment & Refunds
Fees for the IRSS and any optional support services must be paid in full in accordance with Infinity’s pricing as advertised at the time of purchase. Except where required by law, fees are non-refundable.

8. Termination
Infinity reserves the right to terminate the Vendor’s access to the IRSS if the Vendor breaches these Terms of Use. Upon termination, the Vendor must cease all use of the IRSS and destroy any copies of IRSS materials in their possession.

9. Dispute Resolution & Governing Law
In the event of a dispute, both parties agree to attempt to resolve the matter through good faith negotiation. If a resolution cannot be reached within 30 days, either party may escalate the dispute to mediation in Queensland before pursuing court proceedings. These Terms are governed by the laws of Queensland, Australia.

10. Acceptance
By ticking the acceptance box or otherwise indicating agreement, the Vendor confirms they have read, understood and accepted these Terms of Use.
